Regulation FD Disclosure.
 
On October 30, 2025, Core Scientific, Inc. (the “Company”) issued a press release announcing the preliminary results of the special meeting of the Company’s stockholders held on October 30, 2025 to consider and vote on proposals related to the Company’s previously announced merger agreement with CoreWeave, Inc.  As disclosed in the press release, the Company did not receive the votes necessary to approve the merger agreement.  A copy of the press release is furnished herewith as Exhibit 99.1.
